Production of reports

The CSD is issuing reports on request of natural persons and legal entities as well as on requests made by authorized institutions in accordance with the provisions of the legislation regulating the securities matters, especially the Securities Law and the Law on Trade companies.

For the needs of the issuers of securities CSD prepares standard and non-standard reports. Standard reports are generated by the CSD system and therefore their preparation is on the day on which the request was submitted buy the issuer.

 Standard reports includes the following:

  • Certificate of voting rights as per the shareholders book
  • Trade and non-trade transfers report for a specified period
  • Information on the issuer
  • Information about the issue

Certificate of voting rights as per the shareholders book

This report gives a review of the following four groups of shareholders:

  •  Shareholders whose shares acording to the CSD records confer voting rights,
  •  Shareholders whose shares acording to the CSD records have restrictions on their voting rights,
  •  Shares that are recorded on an unidentified shareholders account (if any),
  •  Company’s treasury shares which, under the Law on Trade companies, have suspended voting rights

The structure of this report is adjusted to meet the issuers requirements. With this report the issuer has a complete picture about the natural persons and legal entities that are holders of securities issued under an ISIN (excluding the shares that are registered on omnibus accounts) and the voting rights attached to them. The report is of informative nature and is not a replacement for the Shareholders book that is issued for the purpose of convening and holding the shareholders meeting, but an effective tool that allows processes to be organized in a much quicker and easier way.

Trade and non-trade transfers report for a specified period

The report provides insight into transfers of securities, settled transactions and transfers made by the CSD on other grounds. It contains information about the holder that sold or disposed of the securities in another way, the amount of shares traded in an individual transaction and data on the holder that purchased (acquired) shares. The report may contain transactions in a one day or a longer period, depending on the request of the issuer.

Information on the issuer

 The report contains information on the full name of the issuer, its seat and the number of securities issued (ISIN) registered in the CSD.

 Information about the issue

As a logical continuation of the previous report, this report contains detailed data for each issue on level ISIN as follows:

  •   Number of shares
  •   Nominal value of the share
  •   Nominal capital
  •   Number of votes etc.

The report, depending on the needs of the issuer is available with the current status or a status on a specific date.

 Nonstandard reports

Non-standard reports contain derived data on the situation registered in the Shareholder’s book in accordance with the request of the issuer. This includes the opportunity for a review of shareholders by number of shares and percentage of:

  •   Domestic and foreign (by states or individually) shareholders
  •   Legal entities and natural persons
  •   Dominant shareholders
  •   Stakes by shareholder over a certain% of the shares etc.

The report, depending on the needs of the issuer, can be prepared on the basis of the current status or the status at a specific date.
